1. Introduction

These Terms of Use ("Terms") govern all access to and use of the spectruminvestlab.com trading assistant, profitability dashboards, APIs, and related websites (collectively, the "Services"). By creating an account, requesting a demo, or continuing to use the Services, you agree to these Terms on behalf of yourself and the business entity you represent.

If you do not agree, you must stop using the Services immediately. Supplemental terms—such as order forms, data processing addenda, or beta program agreements—apply in addition to these Terms and take precedence whenever they conflict.

2. NO INVESTMENT ADVICE

Spectruminvestlab is a software platform, not a broker-dealer, investment adviser, or financial institution. All analytics, simulations, or recommendations generated by the Spectruminvestlab analytics engine are informational only and do not constitute investment, legal, accounting, or tax advice.

You remain solely responsible for evaluating the accuracy, suitability, and consequences of any decision you make based on information surfaced within the Services.

3. PRODUCTS AND SERVICES

The Services provide workflow automation, cash-flow forecasting, payment orchestration, KPI dashboards, and collaboration tools for finance teams. Certain modules—such as quick bill pay or treasury execution—may be offered only in specific regions or subject to additional onboarding.

4. SCOPE AND MODIFICATION

We may enhance, replace, or discontinue any Service component to improve performance or comply with regulatory requirements. Material changes to these Terms will be posted on this page with a new effective date.

Continued use after the effective date constitutes acceptance of the updated Terms. If you disagree with an update, your sole remedy is to stop using the Services.

5. REQUIREMENTS

You represent and warrant that you are at least 18 years old (or the age of majority in your jurisdiction), have the authority to bind your organization, and will use the Services only for lawful business purposes.

You must maintain accurate account information, safeguard credentials, and ensure that all users comply with these Terms, Supabase authentication policies, and applicable laws including export, anti-money laundering, and sanctions regulations.

6. DESCRIPTION OF THE SERVICES

Spectruminvestlab provides a multi-tenant, cloud-native platform hosted on infrastructure partners such as Vercel and Supabase. Access is delivered through authenticated web and mobile clients, APIs, and command-line tooling.

Service performance, uptimes, or response targets may be described in a separate service-level agreement. Beta or experimental features are provided “as is” and may be subject to additional restrictions or monitoring.

7. PROPRIETARY RIGHTS

Spectruminvestlab and its licensors retain all proprietary rights, title, and interest in the Services, including AI models, datasets, interfaces, and branding. Except for the limited subscription rights expressly granted to you, no other rights are conveyed.

You may not copy, modify, reverse engineer, decompile, or attempt to extract source code from the Services except to the extent that such restrictions are prohibited by law.

8. CONFIDENTIAL INFORMATION

“Confidential Information” means any non-public information disclosed by either party that should reasonably be understood as confidential, including product roadmaps, pricing, business plans, and customer data.

Each party will protect the other’s Confidential Information with the same degree of care it uses to protect its own information, will not disclose it to third parties (except as permitted in these Terms), and will only use it to fulfill its obligations under the agreement.

9. EDITING, DELETING, AND MODIFICATION

We reserve the right to review, reject, or remove any content submitted to the Services if it violates these Terms, infringes intellectual property, or jeopardizes platform stability.

We may also suspend or terminate access to protect Spectruminvestlab, our partners, or other customers. Whenever feasible, we will provide notice and an opportunity to cure before taking action.

10. DISCLAIMER

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. Spectruminvestlab DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be error-free, uninterrupted, or that they will meet all of your requirements.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Spectruminvestlab’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES IS LIMITED TO THE FEES YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Spectruminvestlab WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, NOR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Spectruminvestlab, its affiliates, and their respective directors, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from or related to: (a) your breach of these Terms; (b) your misuse of the Services; or (c) content or data submitted through your account.

13. PRIVACY POLICY/VISITOR INFORMATION

Your use of the Services is also governed by the Spectruminvestlab Privacy Policy. The Privacy Policy explains how we collect, use, and safeguard Personal Data about visitors, prospects, and authenticated users.

Where there is a conflict between these Terms and the Privacy Policy, these Terms control with respect to contractual commitments, while the Privacy Policy controls with respect to data handling.

14. LEGAL WARNING

Unauthorized access, penetration testing without prior written consent, scraping, or automated extraction of platform data is strictly prohibited and may result in civil or criminal penalties.

We cooperate with law enforcement and financial regulators when we detect suspicious activity or threats to the integrity of the Services.

15. CHOICE OF LAW AND VENUE

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to the Services will be resolved exclusively in the federal or state courts located in Wilmington, Delaware, and each party consents to personal jurisdiction and venue in those courts.

16. DATA PROTECTION ADDENDUM

For customers who process Personal Data subject to GDPR, UK GDPR, or similar legislation, Spectruminvestlab offers a Data Protection Addendum ("DPA") that incorporates the latest Standard Contractual Clauses and outlines technical and organizational measures.

To execute the DPA, contact us at info@spectruminvestlab.com. Once in place, the DPA becomes part of your subscription agreement and prevails over these Terms where conflicts exist on privacy matters.
